HMDIA Note Terms of Use

These Terms of Use (“Terms”) form a legal agreement between you and HMDIA (“HMDIA,” “we,” “us,” or “our”), located in Ontario, Canada, concerning HMDIA Note.

“HMDIA Note” or the “Extension” includes the free and Premium versions of the HMDIA Note browser extension for Chrome, Chromium-based browsers, and Firefox, together with related updates, documentation, licensing services, and support.

By installing, accessing, purchasing, activating, or using HMDIA Note, you agree to these Terms. If you do not agree, do not install or use the Extension. If it is already installed, discontinue use and uninstall it after exporting any information you wish to retain.

1. Eligibility

You must be at least 13 years old and legally permitted to use HMDIA Note.

If you are below the age of majority where you live, your parent or legal guardian must review and accept these Terms on your behalf.

You must be legally capable of entering into a binding agreement to purchase Premium. Purchases must be made by an adult or an authorized representative of a business.

If you use HMDIA Note for an organization, you represent that you have authority to bind that organization. In that case, “you” includes the organization.

2. Description of HMDIA Note

HMDIA Note is a general-purpose browser note-taking tool that may provide:

  • Global, Domain, and Page notes;

  • Rich-text formatting, links, and checklists;

  • Tags, search, filters, archive, Trash, and sticky notes;

  • Reminders and browser or operating-system notifications;

  • Protected notes;

  • Plaintext and password-encrypted backup exports;

  • Popup, movable-window, side-panel, or sidebar interfaces;

  • A screen colour picker;

  • Premium appearance and organization features;

  • Premium-license activation and validation; and

  • Optional encrypted Google Drive synchronization.

Available features may vary by browser, browser version, operating system, device, license plan, region, or extension version.

HMDIA Note is not a cloud-storage, archival-storage, guaranteed-backup, password-management, emergency-alert, or professional-record service.

3. Licence to use the Extension

Subject to these Terms, HMDIA grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use HMDIA Note for lawful personal or internal business purposes.

This licence does not transfer ownership of HMDIA Note or any HMDIA intellectual property.

Except where applicable law expressly permits otherwise, you may not:

  • Copy, sell, rent, lease, sublicense, redistribute, or commercially exploit the Extension;

  • Share, resell, publish, or distribute a Premium licence key;

  • Circumvent Premium restrictions, licence validation, device limits, or security controls;

  • Modify, reverse engineer, decompile, disassemble, or attempt to derive the Extension’s source code;

  • Remove copyright, trademark, licence, or ownership notices;

  • Create a competing or derivative product using protected HMDIA code, designs, or assets;

  • Use automated systems to abuse HMDIA’s licensing service;

  • Falsely represent an installation, device, product, purchase, or licence status; or

  • Use HMDIA Note in a manner that damages, disrupts, overloads, or compromises HMDIA, Google, a browser platform, a website, or another person.

Restrictions do not apply where they are prohibited by law or to third-party components governed by separate open-source licences.

4. Free and Premium features

HMDIA Note may include free and Premium features.

Free features may be added, changed, limited, or discontinued without compensation, subject to applicable law.

Premium features require a valid licence assigned to the correct HMDIA Note product and plan. Premium access may depend on:

  • Successful licence activation;

  • Periodic online licence validation;

  • Continued payment where the plan renews;

  • Compliance with the permitted device or installation limit;

  • Continued availability of the licensing service; and

  • Compliance with these Terms.

An internet connection may periodically be required to validate Premium access. HMDIA may provide a temporary offline grace period but does not guarantee that Premium features will remain available indefinitely without validation.

If a licence expires, is paused, refunded, charged back, deactivated, disabled, used beyond its permitted limit, or determined to be invalid, Premium functionality may be restricted or suspended.

Your locally stored notes generally remain in your browser when Premium becomes inactive, but Premium-dependent features—including Google Drive synchronization—may stop operating.

5. Licence keys and installation limits

A Premium licence key is confidential and may be used only by the purchaser or organization entitled to it.

Each browser installation or browser profile may be treated as a separate device for licence-limit purposes. Reinstalling the Extension, clearing its storage, creating a new browser profile, or changing devices may create a new installation identity.

You are responsible for deactivating Premium before uninstalling HMDIA Note, clearing extension storage, replacing a device, or deleting a browser profile if you want the activation slot released.

Uninstalling the Extension alone may not release a licence slot. HMDIA may assist with legitimate activation issues after verifying ownership, but assistance is not guaranteed where activation limits resulted from licence sharing, abuse, repeated resets, or a failure to deactivate.

HMDIA may suspend or revoke a licence reasonably believed to be:

  • Stolen, copied, leaked, resold, or publicly distributed;

  • Purchased fraudulently;

  • Used beyond its permitted plan or device limit;

  • Associated with a reversed or disputed payment;

  • Used to attack or abuse HMDIA systems; or

  • Otherwise used in violation of these Terms.

6. Purchases, plans, and billing

Prices, currency, billing frequency, licence duration, device limits, included features, and applicable taxes are presented at checkout or in the applicable order confirmation.

You agree to provide accurate billing information and pay all disclosed charges.

A licence may be sold as:

  • A one-time purchase;

  • A fixed-term licence;

  • A recurring subscription;

  • A lifetime licence; or

  • A promotional or marketplace entitlement.

The description displayed at the time of purchase controls the commercial terms of that order.

Recurring plans

If checkout identifies a plan as automatically renewing, you authorize the disclosed recurring charge until cancellation.

You may cancel future renewals using the available account or support process. Unless applicable law or the checkout terms provide otherwise:

  • Cancellation stops future renewal charges;

  • Access continues until the end of the paid billing period; and

  • Unused portions of a billing period are not prorated or refunded.

Lifetime licences

If a plan is expressly described as “lifetime,” it means access for the supported commercial lifetime of HMDIA Note under that plan—not the purchaser’s natural lifetime and not a guarantee of perpetual development, compatibility, support, third-party integrations, or availability.

A lifetime licence remains subject to these Terms, reasonable anti-abuse controls, device limits, technical compatibility, and HMDIA Note’s continued operation.

Taxes and currency

You are responsible for applicable taxes, duties, currency-conversion costs, bank charges, and payment-processing fees unless the checkout page states otherwise.

7. Refunds and payment disputes

Refund eligibility is governed by:

  1. The refund policy or guarantee shown at checkout;

  2. Any terms associated with the specific promotion or marketplace;

  3. These Terms; and

  4. Non-waivable consumer rights under applicable law.

Except where a refund is required by law or expressly promised at purchase, HMDIA may decline refunds after a digital licence has been delivered, activated, substantially used, or abused.

Submitting an unjustified chargeback does not replace the proper refund or support process. HMDIA may suspend the related licence while a payment dispute is investigated.

Nothing in this section restricts a consumer right that cannot legally be waived.

8. Third-party promotions and marketplaces

Purchases or redemption codes obtained through AppSumo or another marketplace, reseller, promotion, or partner may also be subject to that third party’s terms.

A promotional code:

  • May be redeemed only once;

  • Must be obtained lawfully;

  • Applies only to the specified product and tier;

  • Has no cash value unless required by law;

  • May not be sold or transferred unless expressly permitted; and

  • May be rejected or revoked if duplicated, refunded, charged back, obtained through fraud, or used contrary to the promotion.

Where a third-party term conflicts with these Terms, the third-party term controls only the specific purchase or promotion it governs. These Terms continue to govern use of HMDIA Note.

9. Your notes and content

You retain ownership of the notes and content you create in HMDIA Note.

HMDIA does not claim ownership of locally stored notes or encrypted Google Drive synchronization data.

You are solely responsible for:

  • The information you create, store, import, export, or synchronize;

  • Having all rights and permissions required to use that information;

  • The legality, accuracy, and appropriateness of your content;

  • Complying with privacy, confidentiality, employment, professional, and record-keeping obligations;

  • Obtaining consent before storing another person’s personal information; and

  • Avoiding content that infringes intellectual-property, privacy, contractual, or other rights.

You must not use HMDIA Note to store or facilitate malware, unlawful material, stolen information, harassment, threats, fraud, exploitation, or content whose possession would violate applicable law.

Because HMDIA does not receive or review your ordinary note content, HMDIA cannot monitor, recover, moderate, verify, or remove it from your browser or Google Drive on your behalf.

If you voluntarily send content to HMDIA support, you grant HMDIA a limited permission to access, reproduce, and use that specific material only as reasonably necessary to investigate and respond to your request.

10. Sensitive and regulated information

HMDIA Note is a general-purpose productivity tool. It is not designed or certified for storing:

  • Passwords or authentication secrets;

  • Payment-card or banking credentials;

  • Protected medical or health records;

  • Government-classified information;

  • Highly sensitive legal or privileged records;

  • Regulated financial records;

  • Critical infrastructure information;

  • Emergency-response instructions; or

  • Information requiring specialized regulatory certification.

You assume responsibility for determining whether HMDIA Note is suitable for the sensitivity and legal requirements of your information.

Do not use HMDIA Note as the sole location for irreplaceable, regulated, mission-critical, or time-sensitive information.

11. Website contexts and URLs

Domain and Page notes may store website domains or full page URLs. URLs can contain paths, query parameters, document names, local file paths, identifiers, or confidential tokens.

You are responsible for reviewing a URL before associating it with a note. Do not create Page notes on URLs containing passwords, session tokens, private access links, or other secrets.

Password-protecting a note encrypts its title, body, and tags, but may not encrypt its associated URL, scope, identifiers, timestamps, or other local metadata.

12. Passwords and encryption

HMDIA Note may allow you to create passwords for protected notes, encrypted backups, and Google Drive synchronization.

You acknowledge that:

  • HMDIA does not receive or store these passwords;

  • HMDIA cannot reset or recover them;

  • Forgotten passwords may make protected information permanently inaccessible;

  • Encryption does not guarantee absolute security;

  • Ordinary unprotected notes are not encrypted in local extension storage;

  • Some metadata remains unencrypted;

  • Autosaved-draft keys may be stored in the same browser profile as the draft;

  • A locally unlocked Google Drive synchronization key is stored on connected browsers to permit automatic synchronization; and

  • Anyone with sufficient access to your device, browser profile, Google account, or unlocked keys may be able to access information.

You are solely responsible for selecting strong passwords, storing them securely, protecting connected devices, and preventing unauthorized access.

Do not send passwords, OAuth tokens, or complete licence keys to HMDIA support.

13. Backups and risk of data loss

HMDIA Note is not a guaranteed backup or archival service.

You are responsible for creating, testing, protecting, and maintaining independent backups of information you cannot afford to lose.

You acknowledge that:

  • Local extension data may be lost when the Extension is uninstalled;

  • Clearing browser data or extension storage may permanently remove information;

  • Browser resets, profile corruption, device failure, malware, operating-system changes, or browser updates may cause data loss;

  • Deleting a note first moves it to Trash rather than immediately erasing it;

  • Permanently deleted notes may leave content-free synchronization markers;

  • Plaintext exports can expose all included note content;

  • Password-encrypted exports cannot be recovered without the password;

  • Imported backups may merge with or replace existing information;

  • Synchronization is not the same as an independent backup;

  • Deletions, corrupted data, or conflicts may synchronize between devices; and

  • HMDIA does not possess a server-side copy from which your notes can be restored.

You should export regular backups and verify that they can be accessed before uninstalling, clearing storage, changing devices, or making significant changes.

14. Reminders and notifications

HMDIA Note reminders depend on the browser, operating system, device state, time-zone settings, notification permissions, background processing, battery policies, and other conditions outside HMDIA’s control.

HMDIA does not guarantee that a reminder will be delivered, displayed, delivered on time, or remain visible.

Do not rely on HMDIA Note for medical doses, legal deadlines, financial obligations, emergencies, safety-critical events, or any matter where a missed notification could cause harm.

Notification previews may expose note titles or content on a screen or lock screen. You are responsible for choosing appropriate notification settings. Protected-note notifications remain generic, but no notification system is guaranteed to be private.

15. Google Drive synchronization

Google Drive synchronization is optional and requires:

  • A valid Premium licence;

  • A compatible browser;

  • A Google account;

  • Google authorization;

  • A functioning internet connection; and

  • Continued availability of the relevant Google APIs.

HMDIA Note requests access only to its private Google Drive application-data folder and encrypts note content before upload.

You acknowledge that:

  • Google is an independent third-party provider;

  • Google may change, limit, suspend, or discontinue its APIs;

  • Google may revoke or expire authorization tokens;

  • Sync may be delayed, interrupted, conflicted, or unavailable;

  • Google may retain operational file metadata;

  • HMDIA cannot access or restore your encrypted Google Drive data;

  • HMDIA cannot recover a forgotten synchronization password;

  • Disconnecting synchronization does not delete existing Drive files;

  • Uninstalling HMDIA Note does not necessarily revoke Google authorization;

  • Uninstalling does not necessarily delete hidden Google Drive data; and

  • A compromised Google account or connected browser may compromise synchronized information.

Before uninstalling or discontinuing use, you should:

  1. Export any backup you require;

  2. Disconnect Google Drive in HMDIA Note;

  3. Remove HMDIA Note from your Google Account’s third-party connections; and

  4. Delete HMDIA Note’s hidden application data through Google Drive settings if you want the synchronized files removed.

Your use of Google services is subject to Google’s own terms and policies.

16. Third-party platforms and services

HMDIA Note relies on or interacts with services not controlled by HMDIA, including:

  • Google Drive and Google OAuth;

  • Chrome, Chromium-based browsers, and Firefox;

  • Chrome Web Store and Firefox Add-ons;

  • Operating-system notification and security systems;

  • Internet, DNS, hosting, and content-delivery providers;

  • FluentCart and payment providers; and

  • Websites with which you associate notes.

HMDIA does not control and is not responsible for the availability, security, policies, decisions, updates, compatibility, content, or conduct of third parties.

A link, integration, or compatibility statement does not constitute an endorsement or guarantee.

Browser and extension-store operators are not responsible for providing HMDIA Note support, maintenance, refunds, warranties, or resolution of claims, except where their own terms expressly provide otherwise.

17. Privacy

Your use of HMDIA Note is subject to the HMDIA Note Privacy Policy:

The Privacy Policy explains how local notes, website contexts, Google Drive information, licence requests, and related information are handled.

If these Terms conflict with the Privacy Policy concerning the processing of personal information, the Privacy Policy controls for that issue.

18. Updates and compatibility

HMDIA may release updates automatically through a browser store or make an updated package available through another authorized channel.

Updates may:

  • Add, remove, modify, or replace features;

  • Change technical requirements;

  • Correct bugs or security vulnerabilities;

  • Change compatibility with browsers or third-party services;

  • Require updated permissions or consent; or

  • Stop supporting obsolete browsers, systems, or extension versions.

You are responsible for installing supported security updates and maintaining a compatible environment.

HMDIA does not guarantee backward compatibility, perpetual support for any browser or operating system, or continued functionality of obsolete versions.

19. Availability, modification, and discontinuation

HMDIA Note is provided subject to technical, commercial, legal, security, browser-store, and third-party constraints.

HMDIA may modify, suspend, restrict, or discontinue part or all of the Extension where reasonably necessary, including for:

  • Security or privacy concerns;

  • Legal or policy compliance;

  • Third-party API or browser changes;

  • Store rejection or removal;

  • Technical infeasibility;

  • Abuse or fraud;

  • Maintenance; or

  • Commercial discontinuation.

Where reasonably practicable, HMDIA will provide notice of a material discontinuation. Any refund or remedy for discontinued paid access will be limited to what was expressly promised at purchase or required by applicable law.

HMDIA has no obligation to preserve or host your locally stored notes when the Extension is modified or discontinued.

20. Support

HMDIA may provide documentation, updates, or email support according to the applicable licence plan.

Unless a separate written service-level agreement states otherwise:

  • Support response times are estimates;

  • Support is not guaranteed to resolve every issue;

  • Support does not include data recovery or password recovery;

  • Support may require a supported extension and browser version;

  • HMDIA may decline requests involving unsupported modifications, unlawful use, licence abuse, or third-party failures; and

  • HMDIA is not required to access user content.

You should remove sensitive or unrelated information before sending screenshots, files, or diagnostic details to support.

21. Feedback

If you voluntarily provide suggestions, ideas, feature requests, or other feedback, you grant HMDIA a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, commercialize, and incorporate that feedback without payment or attribution.

This section does not transfer ownership of your private note content.

22. Intellectual property

HMDIA Note, including its code, designs, interfaces, branding, graphics, documentation, logos, and original content, is owned by or licensed to HMDIA and is protected by intellectual-property laws.

“HMDIA,” “HMDIA Note,” and related branding may not be used without written permission.

Third-party software and services remain the property of their respective owners and may be governed by separate terms or licences.

23. Suspension and termination

You may terminate these Terms at any time by discontinuing use and uninstalling HMDIA Note.

HMDIA may suspend or terminate Premium access if reasonably necessary because of:

  • A material breach of these Terms;

  • Licence theft, sharing, circumvention, or abuse;

  • Fraud or unauthorized payment activity;

  • Non-payment, refund, reversal, or chargeback;

  • Excessive or harmful automated requests;

  • A security threat;

  • A legal requirement;

  • A browser-store or platform requirement; or

  • Discontinuation of HMDIA Note.

Where practical and legally appropriate, HMDIA may provide notice or an opportunity to correct the issue.

Before uninstalling, you are responsible for exporting backups, deactivating Premium, disconnecting Google Drive, revoking Google authorization, and deleting hidden Google Drive data if desired.

Termination does not automatically delete information held by third parties or release an activation slot if you did not complete the required deactivation process.

Sections that by their nature should survive termination—including ownership, payment obligations, disclaimers, liability limitations, indemnification, and dispute provisions—will survive.

24. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HMDIA NOTE IS PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

HMDIA DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, DURABILITY, AND SECURITY.

HMDIA DOES NOT WARRANT THAT:

  • THE EXTENSION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH EVERY SYSTEM;

  • DEFECTS OR DATA CORRUPTION WILL BE CORRECTED;

  • NOTES, REMINDERS, BACKUPS, PASSWORDS, OR SYNCHRONIZED INFORMATION WILL BE RECOVERABLE;

  • REMINDERS WILL BE DELIVERED OR DELIVERED ON TIME;

  • GOOGLE DRIVE SYNCHRONIZATION WILL ALWAYS SUCCEED;

  • ENCRYPTION WILL PREVENT EVERY FORM OF UNAUTHORIZED ACCESS;

  • PREMIUM FEATURES WILL REMAIN AVAILABLE WITHOUT PERIODIC VALIDATION;

  • THIRD-PARTY SERVICES WILL REMAIN AVAILABLE;

  • HMDIA NOTE WILL MEET PROFESSIONAL, REGULATORY, ARCHIVAL, OR BUSINESS-CONTINUITY REQUIREMENTS; OR

  • ANY PARTICULAR RESULT WILL BE ACHIEVED.

No advice or information from HMDIA creates a warranty unless expressly stated in a signed written agreement.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent legally permitted.

25. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HMDIA AND ITS OWNERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, AGGRAVATED, OR PUNITIVE DAMAGES.

THIS EXCLUSION INCLUDES LOSS OR CORRUPTION OF DATA, NOTES, BACKUPS, PASSWORDS, ENCRYPTION KEYS, REVENUE, PROFITS, BUSINESS, GOODWILL, OPPORTUNITIES, OR ANTICIPATED SAVINGS, EVEN IF HMDIA WAS ADVISED THAT SUCH DAMAGE WAS POSSIBLE.

HMDIA WILL NOT BE LIABLE FOR LOSS OR DAMAGE ARISING FROM:

  • Forgotten or unavailable passwords;

  • Failure to create or test backups;

  • Uninstallation, browser reset, storage clearing, or device failure;

  • Missed, delayed, or hidden reminders;

  • Google Drive conflicts, outages, authorization failures, or data deletion;

  • Browser, operating-system, store, hosting, internet, or third-party failures;

  • A compromised device, browser profile, Google account, licence key, or local encryption key;

  • Information placed in a note or contextual URL by you;

  • Notification previews selected by you;

  • Use of HMDIA Note for regulated, sensitive, emergency, or mission-critical purposes;

  • Unsupported modifications or obsolete versions;

  • Suspension resulting from payment disputes, licence abuse, or a breach of these Terms; or

  • Events outside HMDIA’s reasonable control.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HMDIA’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO HMDIA NOTE WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID DIRECTLY TO HMDIA FOR HMDIA NOTE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR

  2. CAD $50.

Multiple claims do not increase this limit.

These limitations apply regardless of the legal theory asserted, but do not exclude liability that cannot lawfully be limited, including liability arising from fraud, wilful misconduct, gross negligence, or death or personal injury where applicable law prohibits exclusion.

26. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless HMDIA and its owners, directors, employees, contractors, affiliates, licensors, and service providers from third-party claims, damages, liabilities, judgments, losses, costs, and reasonable legal fees arising from:

  • Your unlawful or unauthorized use of HMDIA Note;

  • Information or content you store, import, export, synchronize, or submit;

  • Your violation of another person’s privacy, confidentiality, intellectual-property, or contractual rights;

  • Your breach of these Terms;

  • Licence sharing, resale, circumvention, or misuse;

  • Your violation of applicable law; or

  • Your intentional misconduct.

HMDIA will provide reasonable notice of a covered claim and may control its defence and settlement. You must reasonably cooperate.

This section does not require you to indemnify HMDIA for HMDIA’s own unlawful conduct, gross negligence, or other liability that cannot legally be shifted to you. Consumer indemnity obligations apply only where legally permitted.

27. Force majeure

HMDIA is not responsible for delay, interruption, or failure caused by events beyond its reasonable control, including internet or power failures, cyberattacks, natural disasters, labour disputes, government actions, war, civil disturbance, epidemics, third-party outages, browser-platform changes, extension-store decisions, or Google API changes.

28. Governing law and courts

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules.

Subject to non-waivable consumer rights, the courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising from these Terms or HMDIA Note.

If you are a consumer, this section does not deprive you of mandatory protections or forums available under the laws of your place of residence.

For business users only, any claim must be commenced within one year after the claim arose, unless a longer period is required by applicable law.

29. Changes to these Terms

HMDIA may update these Terms to reflect changes in HMDIA Note, pricing models, laws, policies, security requirements, or third-party services.

The updated version will display a new “Last updated” date.

Material changes will be communicated through the Extension, website, store listing, email, checkout, or another reasonable method. Where legally required, HMDIA will request affirmative acceptance.

Changes do not apply retroactively to disputes that arose before the updated Terms became effective.

If you disagree with updated Terms, you must discontinue use and cancel any future renewal before the changes become effective.

30. Electronic communications

You agree that HMDIA may provide order confirmations, licence notices, security notices, support responses, renewal notices, and legal communications electronically using the email address associated with your purchase or account.

Marketing communications require any consent mandated by applicable law and may be unsubscribed from separately. Unsubscribing from marketing does not prevent essential transactional or security messages.

31. Assignment

You may not assign or transfer these Terms or a Premium licence without HMDIA’s written consent.

HMDIA may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or part of its business, subject to applicable law.

32. Severability

If any provision is found invalid, illegal, or unenforceable, it will be limited or modified only to the minimum extent necessary. The remaining provisions will continue in effect.

33. No waiver

A failure or delay by HMDIA in enforcing a provision does not waive the right to enforce it later.

34. Entire agreement and order of precedence

These Terms, the HMDIA Note Privacy Policy, and the applicable checkout, order confirmation, promotion, or written licence agreement constitute the entire agreement regarding HMDIA Note.

If there is a conflict:

  1. A signed written agreement controls;

  2. The applicable checkout or order terms control for pricing, duration, renewal, device limits, and refund promises;

  3. The Privacy Policy controls for personal-information handling; and

  4. These Terms control for all other matters.

35. Headings and interpretation

Headings are for convenience only.

“Including” means “including without limitation.”

These Terms will not be interpreted against either party merely because that party drafted them.

Any translated version is provided for convenience. The English version controls unless applicable law requires otherwise.
